The next regular monthly meeting of the Venture Association New Jersey (www.vanj.com), will be held on Tuesday, March 23, at the Marriott Hanover, Whippany, NJ. The featured speaker will be David N. Feldman, Esq., Managing Partner of Feldman LLP (www.feldmanllp.com) and one of the country’s leading experts on reverse mergers, self-filings and other alternatives to initial public offerings (IPO’s).
Author of the book, Reverse Mergers and Other Alternatives to Traditional IPO’s (Bloomberg Press), Feldman will explain how reverse mergers work from both the business and legal points of view. Topics he will cover include: the pros and cons of going public, deal structures and mechanics, financing, winning market support, best (and worst) practices, due diligence, the regulatory regime, working with companies outside the United States (especially in China), specified purpose acquisition companies (SPACs), and Form 10 or "virgin" shells. He will also discuss other alternatives to an IPO, including self-filings and other techniques.
The reverse merger, by which a private company acquires a majority stake in a public one and thereby becomes public itself, is becoming increasingly popular, especially for companies unable to participate in traditional IPO’s because they do not meet the restrictive criteria set by investment banks. Some examples of companies that have been created by this method include Berkshire Hathaway, Turner Broadcasting Systems, Texas Instruments, Tandy Corporation, Occidental Petroleum, Blockbuster Entertainment and the New York Stock Exchange.
David N. Feldman, Esq. received a BS in Economics from the Wharton School of Business at the University of Pennsylvania in 1982 and his JD in 1985 from the University of Pennsylvania Law School.
